8. Fees and Payment

Our Service is provided on a subscription basis with usage-based pricing. Fees are calculated based on the number of voice interactions processed. All fees are exclusive of VAT where applicable.

Payment terms are net 30 days from invoice date. Late payments may incur interest charges at the rate of 8% per annum above the Bank of England base rate. We reserve the right to suspend service for non-payment.

9. Disclaimers and Limitations

OUR SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements or that operation will be uninterrupted or error-free. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERSEDE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim. This limitation applies even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless SuperSede AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service or violation of these Terms.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms or engage in harmful conduct.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and governing law) shall survive.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before initiating formal legal proceedings, parties agree to attempt resolution through good faith negotiations.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
